SYFT TERMS OF USE

These Terms of Use ("Terms") are a binding agreement between you ("you" or "your") and Syft Holdings Corp. ("Syft," "Company," "we," or "us"). These Terms govern your access to and use of the Syft website (www.syftai.com), the Syft platform, and any related services (collectively, the "Services").

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, do not access or use the Services.

1. DESCRIPTION OF SERVICES

Syft provides an AI-powered sales intelligence platform that helps businesses identify target accounts, recommend contacts, and generate messaging for outbound prospecting. The Services may include optional integrations with third-party platforms to facilitate your workflows.

2. ACCOUNTS AND REGISTRATION

To access certain features of the Services, you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

• Responsibility: You are responsible for maintaining the confidentiality of your account credentials, including your password, and for all activity that occurs under your account.
• Notification: You agree to notify Syft immediately of any unauthorized use of your account.
• Discretion: Syft reserves the right to refuse registration of, or cancel, accounts at its discretion.

3. SUBSCRIPTION AND BILLING

Certain features of the Services require a paid subscription. By subscribing, you agree to the following:

• Renewal: Subscriptions are billed on a monthly basis and will automatically renew each month until canceled.
• Authorization: You authorize Syft to charge your designated payment method on a recurring monthly basis.
• Cancellation: You may cancel your subscription at any time. Cancellation will take effect at the end of the current billing cycle, and you will retain access to the Services through that period.
• Refunds: No refunds will be issued for partial billing periods.
• Pricing: Syft reserves the right to change its pricing at any time. Any pricing changes will take effect at the start of your next billing cycle following notice of the change.

4. ACCEPTABLE USE

You agree not to use the Services in any manner that:

• Violates any applicable local, state, national, or international law or regulation
• Infringes on the rights of any third party, including intellectual property or privacy rights
• Involves transmitting any unlawful, harmful, threatening, abusive, or otherwise objectionable material
• Attempts to interfere with, compromise, or disrupt the Services or any servers or networks connected to the Services
• Involves scraping, data mining, or using automated means to access the Services without Syft's prior written consent

5. RESTRICTIONS

You will not, directly or indirectly:

• Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, object code, or underlying structure, ideas, know-how, or algorithms of the Services or any related software
• Modify, translate, or create derivative works based on the Services or any related software, except to the extent expressly permitted by Syft
• Use the Services for timesharing, service bureau purposes, or otherwise for the benefit of a third party
• Remove any proprietary notices or labels from the Services
• Export or re-export the Services in violation of any applicable United States export restrictions, laws, or regulations

6. INTELLECTUAL PROPERTY

Syft owns and retains all right, title, and interest in and to the Services, including all software, algorithms, models, interfaces, improvements, enhancements, modifications, and all related intellectual property rights. Nothing in these Terms grants you any ownership interest in the Services. All rights not expressly granted are reserved by Syft.

Syft's name, logo, and all related trademarks, service marks, and trade names are the property of Syft Holdings Corp. You may not use any Syft trademarks without prior written consent.

7. ARTIFICIAL INTELLIGENCE AND MACHINE LEARNING

The Services use artificial intelligence, natural language processing, and machine learning to generate account recommendations, contact suggestions, and messaging. You acknowledge and agree that:

• Validation: AI-generated outputs are recommendations and are not guaranteed to be accurate, complete, or suitable for any particular purpose. You are responsible for reviewing and validating all outputs before use.
• Training: Syft does not use proprietary customer data to train its models.
• Analytics: Syft may collect and analyze data relating to the provision, use, and performance of the Services. Syft may use such data in aggregate or de-identified form to improve and enhance the Services and for other development, diagnostic, and corrective purposes.

8. THIRD-PARTY INTEGRATIONS

The Services may allow you to optionally connect third-party platforms. When you connect a third-party platform:

• Data Flow: Data flows from Syft into your connected platform. Syft does not store or retain data from your third-party platforms.
• Third-Party Terms: Your use of any third-party platform is subject to that platform's own terms of service and privacy policy. Syft is not responsible for the practices of any third-party platform.

9. PRIVACY

Your use of the Services is subject to Syft's Privacy Policy, available at [LINK]. Please review the Privacy Policy to understand how we collect, use, and protect information.

10. WARRANTY DISCLAIMER

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." SYFT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SYFT DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. SYFT DOES NOT MAKE ANY WARRANTY REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY RESULTS OBTAINED THROUGH THE SERVICES, INCLUDING ANY AI-GENERATED OUTPUTS.

11. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYFT AND ITS OFFICERS, AFFILIATES, REPRESENTATIVES, CONTRACTORS, AND EMPLOYEES SHALL NOT BE LIABLE FOR: (A) ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES; (B) ANY LOSS OF DATA, BUSINESS, PROFITS, OR REVENUE; (C) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES; OR (D) ANY MATTER BEYOND SYFT'S REASONABLE CONTROL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY, EVEN IF SYFT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE EXTENT PERMITTED BY LAW, SYFT'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO SYFT IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Syft and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; or (c) your violation of any applicable law or the rights of any third party.

13. TERMINATION

Syft may suspend or terminate your access to the Services at any time, with or without cause, with or without notice.

• Refunds: If Syft terminates your access without cause, you will receive a prorated refund for any prepaid fees covering the remainder of your billing cycle. If Syft terminates your access due to a violation of these Terms, no refund will be issued.
• User Cancellation: You may cancel your subscription at any time in accordance with Section 3.
• Survival: Upon termination, your right to use the Services will immediately cease. All provisions of these Terms that by their nature should survive termination will survive, including intellectual property, warranty disclaimers, indemnification, and limitations of liability.

14. CHANGES TO THESE TERMS

Syft reserves the right to modify these Terms at any time. If we make material changes, we will update the "Last Updated" date at the top of this page. Your continued use of the Services after any changes constitutes your acceptance of the updated Terms. It is your responsibility to review these Terms periodically.

15. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws provisions. Any action or proceeding arising out of or related to these Terms shall be brought exclusively in the state or federal courts located in Texas.

16. GENERAL

• Enforceability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
• Relationship: These Terms do not create any agency, partnership, joint venture, or employment relationship between you and Syft.
• Waiver: Syft's failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Syft regarding the Services.
